Introduction

Welcome to Bok Choy. These Terms of Service ("Terms") govern your access to and use of the Bok Choy proctoring client application and related services (collectively, the "Service"). Please read these Terms carefully before using our Service.

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service.

Definitions

For the purpose of these Terms:

"Service" refers to the Bok Choy proctoring client application and all related services, features, content, and websites.
"User" refers to the individual accessing or using the Service, or the company or organization on behalf of which such individual is accessing or using the Service.
"Test Administrator" refers to the individual or organization that uses our Service to proctor tests or interviews.
"Test Taker" refers to the individual being proctored during a test or interview.

Account Registration

To use certain features of the Service, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

Service Usage and Limitations

Our Service is designed to monitor compliance during tests and interviews. As a Test Administrator, you may use our Service to ensure that Test Takers are following the rules you have established for your test or interview.

As a Test Taker, you acknowledge that our Service will monitor whether you are using only the applications allowed by the Test Administrator's predefined allowlist during the proctoring session.

Our Service does not:

Record screen content, keystrokes, or webcam footage
Record which specific applications the person is using
Access files, documents, or any content on the device
Monitor internet browsing history or network activity

You agree not to misuse our Service. For example, you must not:

Use the Service for any illegal purpose or in violation of any laws
Attempt to bypass or circumvent any monitoring features
Interfere with or disrupt the integrity or performance of the Service
Attempt to gain unauthorized access to the Service or its related systems
Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service without express written permission

Intellectual Property Rights

The Service and its original content, features, and functionality are and will remain the exclusive property of Bok Choy and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Bok Choy.

User Content

Our Service may allow you to post, link, store, share, and otherwise make available certain information, text, graphics, or other material. You are responsible for the content you post to the Service, including its legality, reliability, and appropriateness.

By posting content to the Service, you grant us the right to use, modify, publicly perform, publicly display, reproduce, and distribute such content on and through the Service. You retain any and all of your rights to any content you submit, post, or display on or through the Service and you are responsible for protecting those rights.

Subscription and Payment

Some parts of the Service are billed on a subscription basis. You will be billed in advance on a recurring and periodic basis, depending on the type of subscription plan you select.

At the end of each period, your subscription will automatically renew under the same conditions unless you cancel it or Bok Choy cancels it. You may cancel your subscription either through your online account or by contacting our customer support team.

All payments are processed securely through our payment processors. By providing your payment information, you authorize us to charge your payment method for the subscription plan you have selected.

Free Trial

We may, at our sole discretion, offer a subscription with a free trial for a limited period of time. You may be required to enter your payment information to sign up for the free trial.

If you do enter your payment information when signing up for a free trial, we will not charge you until the free trial has expired. On the last day of the free trial period, unless you canceled your subscription, we will automatically charge the applicable subscription fee for the type of subscription you have selected.

Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

If you wish to terminate your account, you may simply discontinue using the Service or contact us to request account deletion.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Limitation of Liability

In no event shall Bok Choy, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

Your access to or use of or inability to access or use the Service;
Any conduct or content of any third party on the Service;
Any content obtained from the Service; and
Unauthorized access, use, or alteration of your transmissions or content.

Disclaimer

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

Bok Choy, its subsidiaries, affiliates, and its licensors do not warrant that:

The Service will function uninterrupted, secure, or available at any particular time or location;
Any errors or defects will be corrected;
The Service is free of viruses or other harmful components; or
The results of using the Service will meet your requirements.

Governing Law

These Terms shall be governed and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
